Terms and Conditions

Project Definition

  • We will work with you to define the piece of work we are going to do.
  • Depending on the circumstances, this might involve introductory/exploratory discussions to understand the issues that the piece of work needs to address, or might be a response to a formal tender where the client already has a clear definition of what is needed.
  • We will agree with you the timescale and deliverables for the project, including any interim milestones and deliverables
  • This will include any information or other deliverables that we need to receive from you at the start of and during the project in order for us to successfully execute the project

Agility and Responsiveness

  • The nature of our services means that many projects will require flexibility and agility from you and by us in order to respond to evolving requirements. Indeed, depending on the nature of the project, we may have anticipated milestones at which the scope and direction of the project may need to be revised. 
  • In any case, if during the life of the project its scope and direction varies significantly from what was originally agreed, we will work with you to agree an appropriate variation of the project schedule and our fees and charges in order to reflect the change. 

Confidentiality

  • During our project, it is highly likely that you will be sharing information with us that is confidential and/or commercially sensitive. We will be happy to sign a Non-Disclosure Agreement as our commitment to handle such information carefully so that it remains safe and will not be shared with anyone else without your permission.
  • We have a standard Non-Disclosure Agreement format, or we would be willing to consider using one provided by you if you would prefer.

Point of Contact

  • We will agree with you the primary point of contact within your organisation who will liaise with us during the project and to whom we can refer any questions or queries. You will respond to such queries within a reasonable time, typically 24 hours.
  • We will endeavour to do the same.

Fees and Charges

  • We will be clear with you about our fees and charges for the agreed piece of work. 
  • Depending on the circumstances this could be a fixed price for the whole project, or a variable cost based on time, materials and other expenses, or some other model that we would agree with you. 
  • We will agree what is included and what is not included in our price, for example whether travel and other expenses are included in the price or are chargeable additionally.
  • We will agree on the payment terms, including, where applicable, stage payments on completion of certain stages within the project, and the criteria for agreement completion of stages and/or the overall project.

Payment Terms

  • Payment will be due from you within 14 days of submission of our invoices.
  • Payment will be by Direct Transfer to our nominated Bank Account.
  • VAT is not chargeable on our services.

Disputes

  • We will endeavour to resolve any disagreements or disputes amicably and by consensus. 
  • In the unlikely event of this not being successful, we may choose to suspend or curtail the project. 
  • At that point we will assess our reasonable fees and charges for work we have done up to that point, and upon presentation of our invoice, payment of such fees and charges by you will become due immediately.
  • We would hope to avoid resorting to legal action to resolve any disputes, but in the unlikely event that we have to do this, the laws of England and Wales will apply.
